CaughtUp LLC End-User License Agreement (EULA)

Effective: May 25, 2026

This End-User License Agreement ("EULA") is a legal agreement between you and CaughtUp LLC.

Please read this EULA agreement carefully before completing the installation process and using the CaughtUp software. It provides a license to use the CaughtUp software and contains warranty information and liability disclaimers.

If you register for a free trial of the CaughtUp software, this EULA agreement will also govern that trial. By clicking "accept" or installing and/or using the CaughtUp software, you are confirming your acceptance of the Software and agreeing to become bound by the terms of this EULA agreement.

If you are entering into this EULA agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these terms and conditions. If you do not have such authority or if you do not agree with the terms and conditions of this EULA agreement, do not install or use the Software, and you must not accept this EULA agreement.

This EULA agreement shall apply only to the Software supplied by CaughtUp LLC herewith regardless of whether other software is referred to or described herein. The terms also apply to any CaughtUp LLC updates, supplements, Internet-based services, and support services for the Software, unless other terms accompany those items on delivery. If so, those terms apply.

Your License to Use the Services

CaughtUp LLC hereby grants you a personal, non-transferable, non-exclusive license to use the CaughtUp software on your devices in accordance with the terms of this EULA agreement.

You are permitted to load the CaughtUp software (for example a PC, laptop, mobile or tablet) under your control. You are responsible for ensuring your device meets the minimum requirements of the CaughtUp software.

You are not permitted to:

  • Edit, alter, modify, adapt, translate or otherwise change the whole or any part of the Software nor permit the whole or any part of the Software to be combined with or become incorporated in any other software, nor decompile, disassemble or reverse engineer the Software or attempt to do any such things
  • Reproduce, copy, distribute, resell or otherwise use the Software for any commercial purpose
  • Allow any third party to use the Software on behalf of or for the benefit of any third party
  • Use the Software in any way which breaches any applicable local, national or international law
  • Use the Software for any purpose that CaughtUp considers is a breach of this EULA agreement

AI Features

The Software includes optional artificial intelligence ("AI") features that use Google Vertex AI to analyze structured signals from group chats (such as proposed dates, times, activity types, RSVP responses, and attendance outcomes) and to generate plan suggestions, idea-crystallization prompts, and event pre-fills surfaced inside the affected group chat. AI features are on by default for new group chats and new user accounts. A group admin may turn AI features off for a specific group at any time, and any individual user may opt out of AI processing for their own account at any time from their account settings. The full data handling, scope, retention, and deletion rules for these features are described in our Privacy Policy.

AI output is informational only. Content generated by AI features (including suggested event times, activities, and pre-filled event details) is produced automatically and may be inaccurate, incomplete, or out of date. You are responsible for reviewing and verifying any AI-generated suggestion before relying on it or sharing it with others. CaughtUp does not warrant the accuracy, reliability, fitness for a particular purpose, or completeness of any AI-generated output, and AI-generated output should not be treated as professional advice (legal, medical, financial, or otherwise). AI-generated content is clearly labeled as such in the app.

In addition to the restrictions in "Your License to Use the Services," you agree that you will not, in connection with the Software's AI features:

  • Attempt to extract, reverse engineer, or discover the underlying models, prompts, weights, system instructions, or training data of the AI features, or otherwise probe the AI through prompt-injection, jailbreaking, or adversarial techniques.
  • Submit content to, or use AI-generated output for, any purpose that is unlawful, harassing, defamatory, infringing, deceptive, or that violates our Community Guidelines.
  • Use the AI features or their output to train, fine-tune, evaluate, benchmark, or develop a competing artificial intelligence product, model, or service.
  • Misrepresent AI-generated output as having been authored by a human, or use the AI features in any way that would breach applicable law or regulation, including consumer protection, privacy, or AI-disclosure rules in your jurisdiction.

AI features are provided "as is" and may be modified, suspended, throttled, or discontinued at any time without notice, including where required by our infrastructure provider, by law, or to protect the safety or integrity of the Service.

Intellectual Property and Ownership

CaughtUp LLC shall at all times retain ownership of the Software as originally downloaded by you and all subsequent downloads of the Software by you. The Software (and the copyright, and other intellectual property rights of whatever nature in the Software, including any modifications made thereto) are and shall remain the property of CaughtUp LLC.

CaughtUp LLC reserves the right to grant licenses to use the Software to third parties.

Termination of These Terms

This EULA agreement is effective from the date you first use the Software and shall continue until terminated.

It will also terminate immediately if you fail to comply with any term of this EULA agreement. Upon such termination, the licenses granted by this EULA agreement will immediately terminate and you agree to stop all access and use of the Software. The provisions that by their nature continue and survive will survive any termination of this EULA agreement.

Updating Our End User License Agreement and Policies

We may revise these Terms from time to time. The changes will not be retroactive, and the most current version of the Terms, which will always be at https://caughtup.app/eula, will govern our relationship with you. We will try to notify you of material revisions, for example via a service notification or an email to the email associated with your account. By continuing to access or use the Services after those revisions become effective, you agree to be bound by the revised Terms.
